This End User License Agreement (“Agreement”) is a legal agreement between you (“End User,” “You,” or “Your”) and Calf Notes Consulting, LLC, including its affiliates and suppliers (collectively, “CNC” or “Licensor”).
This Agreement governs your access to and use of the Tools software suite, including but not limited to the Colostrum Monte Carlo (CMC), Growth Prediction System (GPS), LPSolve, OsmoCalc, and any accompanying documentation (collectively, the “Software”).
The Software is licensed, not sold, and is protected by copyright laws and international treaties.
1. ACCEPTANCE
YOU ACCEPT AND AGREE TO BE BOUND BY THIS AGREEMENT BY:
- Checking the acknowledgment box confirming that you have read and agree to this Agreement prior to download, and/or
- Downloading, installing, accessing, or using any portion of the Software.
IF YOU DO NOT AGREE TO ALL TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE SOFTWARE.
2. LICENSE GRANT
CNC grants You a personal, non-exclusive, non-transferable, revocable license to install and use one copy of the Software on desktop devices that You own or control, provided the Software is lawfully obtained via the Microsoft Store.
You may make a reasonable number of archival or backup copies where technically permitted, provided all proprietary notices are retained.
This Agreement does not grant You any ownership interest in the Software.
3. INTENDED USE: EDUCATIONAL AND INFORMATIONAL PURPOSES
The Software is provided primarily for educational, research, demonstration, and informational purposes.
By accepting this Agreement, You acknowledge and agree that:
- The Software is not intended for commercial production use, commercial decision-making, or as a substitute for professional judgment.
- The Software is designed to support learning, research, and exploration of concepts related to animal growth, nutrition, colostrum management, immunoglobulin absorption, feeding, and management.
- Calculations, simulations, estimates, and model outputs, including those produced by Colostrum Monte Carlo (CMC), are based on mathematical models, published research, assumptions, and user-supplied inputs.
- Simulated, estimated, or predicted results may differ from actual biological outcomes and should not be interpreted as a prediction or guarantee of the response of any individual animal, group of animals, herd, or farm.
- CNC does not represent or warrant that outputs are suitable for production, financial, veterinary, nutritional, or management decisions.
- CNC does not monitor or enforce how the Software is used after installation; however, your acceptance of this Agreement constitutes your acknowledgment of its educational nature and limitations.
4. NO PROFESSIONAL ADVICE
The Software does not provide veterinary, nutritional, medical, regulatory, financial, or other professional advice.
Any calculations, simulations, estimates, predictions, or other outputs are provided “as is.”
You are solely responsible for:
- Verifying results
- Evaluating the assumptions and inputs used to generate results
- Interpreting outputs
- Determining whether outputs are appropriate for any intended use
- Consulting qualified professionals, including veterinarians, nutritionists, or other advisors, as appropriate
Results generated by the Software should not be used as the sole basis for decisions affecting animal health, nutrition, management, production, or economic outcomes.
5. RESTRICTIONS ON USE
You may not:
- Rent, lease, sublicense, sell, redistribute, or otherwise transfer the Software
- Permit others to use the Software on your behalf
- Use the Software on systems that permit simultaneous multi-user access
- Circumvent, disable, or interfere with any safeguards or licensing mechanisms
- Reverse engineer, decompile, disassemble, or attempt to derive source code, except where expressly permitted by applicable law
- Modify the Software or create derivative works, including translations or adaptations, except where expressly permitted by applicable law
6. OWNERSHIP
The Software is licensed, not sold.
CNC retains all rights, title, and interest, including all intellectual property rights, in and to the Software, its underlying software code, algorithms, models, calculations, interfaces, documentation, and other associated materials, except for third-party materials expressly identified as such.
No rights are granted to You except those expressly stated in this Agreement.
7. SUPPORT AND UPDATES
CNC may, at its discretion, provide updates, upgrades, modifications, corrections, security updates, or support for the Software.
Except as required by applicable law, CNC has no obligation to provide any particular update, upgrade, modification, correction, security update, or support service, or to continue providing or supporting the Software for any particular period.
Models, equations, assumptions, coefficients, calculations, or other components of the Software may be revised as additional scientific information becomes available.
Any updates provided are governed by this Agreement unless accompanied by separate or additional terms.
Nothing in this Section limits any obligation to provide updates, security updates, vulnerability remediation, or other support where such an obligation is imposed by applicable law.
8. LIMITED WARRANTY
For thirty (30) days from the date of download, CNC warrants that the Software, when properly installed and used under normal conditions, will perform substantially as described in its documentation.
This limited warranty is in addition to, and does not limit, any mandatory statutory rights You may have under applicable law.
9. DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT OR AS OTHERWISE REQUIRED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CNC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT.
CNC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR SUITABLE FOR ANY PARTICULAR APPLICATION.
CNC DOES NOT WARRANT THAT CALCULATED, SIMULATED, ESTIMATED, OR PREDICTED RESULTS WILL CORRESPOND TO ACTUAL RESULTS OBSERVED IN INDIVIDUAL ANIMALS, GROUPS OF ANIMALS, HERDS, FARMS, OR OTHER PRODUCTION SETTINGS.
Nothing in this Section excludes or limits any warranty, guarantee, or statutory right that cannot lawfully be excluded or limited.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, PRODUCTION, ANIMAL PERFORMANCE, OR OTHER ECONOMIC LOSS, EVEN IF CNC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in this Agreement excludes or limits liability to the extent such liability cannot lawfully be excluded or limited under applicable law, including any applicable mandatory product liability, consumer protection, or other statutory liability.
SUBJECT TO THE FOREGOING, IN NO EVENT SHALL CNC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE, IF ANY.
11. LIMITATION OF REMEDIES
Except for remedies that cannot be excluded or limited under applicable law, Your exclusive contractual remedy under this Agreement shall be, at CNC’s sole discretion:
- Correction of the Software, or
- Replacement with a functionally equivalent version.
Because the Software may be provided free of charge, CNC has no obligation to provide refunds except where a refund or other remedy is required by applicable law.
12. TERMINATION
This Agreement is effective until terminated.
Your license will automatically terminate if You fail to comply with any material term of this Agreement.
Upon termination, You must cease all use of the Software and, where reasonably practicable, destroy or remove copies of the Software in Your possession or control.
Sections relating to ownership, disclaimers, limitation of liability, governing law, statutory rights, and any other provisions that by their nature should survive termination shall survive termination.
13. GOVERNING LAW AND VENUE
This Agreement shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent mandatory applicable law provides otherwise.
To the extent permitted by applicable law, any legal action arising out of or relating to this Agreement or the Software shall be brought exclusively in state or federal courts located in Florida, and You consent to personal jurisdiction in those courts.
Nothing in this Section deprives a consumer or other End User of the protection of mandatory laws, venue rights, or jurisdictional rights that apply to that End User and that cannot lawfully be waived by agreement.
14. SEVERABILITY
If any provision of this Agreement is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.
15. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between You and CNC regarding the Software and supersedes all prior agreements, representations, communications, or understandings regarding the Software, whether written or oral.
No amendment or modification of this Agreement shall be binding unless made by CNC in writing or provided as part of an authorized update to the Software or its licensing terms.
16. MANDATORY STATUTORY RIGHTS
Nothing in this Agreement is intended to exclude, restrict, or modify any right, remedy, warranty, guarantee, obligation, or liability that cannot lawfully be excluded, restricted, or modified under applicable law.
If applicable law provides You with mandatory consumer, product liability, digital content, data protection, cybersecurity, accessibility, or other statutory rights, those rights remain in effect notwithstanding any provision of this Agreement.
To the extent that any provision of this Agreement conflicts with a mandatory requirement of applicable law, the mandatory requirement shall control only to the extent of that conflict.
